Toi Online Terms and Conditions

1. Definitions

“User” means the person in possession of a shop in the mall and access to our services.

“Mall” means the online ecommerce platform used by shop owners in their business activities.

“Shop/Stall/Store” means the space offered in the mall for business owners to transact and conduct business activities.

“Company” means Toi Online.

“Buyers” means the persons or entities that make purchases from shops in the mall.

“Account” means the point of access to our services which is granted after obtaining a shop in the mall and agreement with our terms of service.

“Parties” means the persons or entities involved in this agreement: Toi Online and the Users.

“Termination” means permanent cessation of any services or access to any property or service stated in this agreement.

“Intellectual Property” means IP. Any trademarks, logos, graphics, software, trade secrets, layouts, icons, color schemes, trade names, service marks, and buttons belonging to Toi Online being accessed by the users.

“Electronic Communication” means communication by means of electronic media such as email.

2. Enforcements and Amendments
3. These terms and conditions are a legally binding agreement between Toi Online (The Company) and the User. Users should accept the terms and conditions before registering with or using the services being offered.
4. The Company may update these terms and conditions from time to time.

• The user acknowledges that these terms and conditions may be altered, amended and updated from time to time in Toi Online’s discretion.

3. Our Services

Toi Online provides an online platform for businesses to meet, interact with and transact with their buyers through shops within the mall.

4. Your Responsibilities

Shop Owner’s Obligations and Responsibilities pertaining to the use of our platform and services are as follows:

1. Creation of a strong and secret password through which you will be able to access your shop.
2. Ensuring your account/shop password remains to your discretion and is not shared with any other party at any particular time.

• Provide an accurate existing email address or other channel through which the company may contact you with. This email or channel is to remain valid throughout the period within which you are in a relationship with the company.

1. Keep the shop details safe and secure and inform Toi Online in case of any shop account security and privacy breaches.
2. Accept and agree that s(he) is responsible for all activities that take place in the shop account. This includes but is not limited to ensuring that all goods and services offered are accurately represented and ensuring effective service delivery to the buyers.

Buyer’s obligations and responsibilities pertaining to the use of our platform are as follows:

1. Buyers have an obligation to ensure their own safety during transactions. This includes not revealing any private or secret information such as identification numbers, pins, password and bank account details. Any planned physical meetings between a buyer and shop owner should be conducted in safe and public places.

3. Prior to registration and shop ownership verification, the user agrees that:
4. You use your services at your own risk.
5. You use our services at your own option and discretion.
6. You accept responsibility for payment of any necessary taxes that arise with the use of our service.
7. You are to provide correct information regarding any products and services you offer. Provided information should not be associated with any illegal activity.
8. You are at least 18 years of age. Acceptance of these terms and conditions is acceptance that you are at least 18 years of age and in possession of a valid identification document as proof.
9. You agree that by using our services you will not violate any laws, third party rights and contracts by:
10. Ceasing to use our services in case any laws in the country prohibit you from so doing.
11. Not using our services for any illegal activity including but not limited to fraud, money laundering and any kind of scams and cyber crimes.
12. Not providing any false or misleading information to either Toi Online or Buyers.
13. Ensuring and guaranteeing accuracy of provide information.
14. Not attempting to alter our software in any way.
15. Not attempting by any means whatsoever to steal our data.

• YOU WILL NOT HOLD US ACCOUNTABLE AGAINST ANY DAMAGES AND DEMANDS INCLUDING LOSS OF PROFITS OR DATA OR ANY OTHER DAMAGES OF ANY KIND. TOI ONLINE ONLY OFFERS A PLATFORM FOR CONDUCTNG BUSINESSAND IS IN NO WAY ASSOCIATED WITH ANY BUSINESS OR BUYERS HEREIN.

6. Intellectual Property Rights
7. All our copyrights, trademarks, trade secrets, layouts, icons, logos, color schemes, software codes, tradenames, service marks, buttons and graphics are reserved and protected by local and international intellectual property laws.
8. You are granted a limited access to use our intellectual properties for personal use.

• You may not modify, reproduce and distribute any of our intellectual property material.

1. Termination to access to our services automatically terminates the license granted under this section.
2. Communications

The user agrees to receive all communications from Toi Online electronically via email unless other circumstances warrant a different communication mode.

8. Termination of Terms

Toi Online may terminate the terms and your access to our services;

1. If we have reason to believe you have breached any of the stated terms of service herein.
2. If we decide on immediate termination of our services.

• If we decide to discontinue to provide service for any reason. Notice of this will however be given prior to execution.

9. Miscellaneous
10. The terms and conditions in this agreement supersede all prior agreements and understandings made between you and Toi Online.
11. Failure by either of us to enforce any rights under these Terms and Conditions shall be without prejudice to any available legal remedies and does not imply any admission of liability on our part for any alleged breach.
12. Dispute Resolution

Save as may otherwise be provided herein, all questions in dispute arising between us and the user and all claims or matters in such dispute not otherwise mutually settled between the parties shall be referred to arbitration.

11. Disclaimer

Toi Online is not a party to any transactions between buyers and sellers. Any issues pertaining to a transaction will solely be handled between the buyer and the seller including but not limited to sales, refunds and returns. However, in case of disputes, Toi Online may act as the primary arbitrator, unless arbitration by a third party is the best course of action.
